These Terms of Service ("Terms") govern your access to and use of Kelly ("the Software"), provided by Ivan Stepanov, operating as Empresário Individual, Brazil ("we", "us", "our"). By downloading, installing or using Kelly you agree to these Terms.
Kelly is a macOS desktop application that enables users to create and manage teams of AI agents for project and task management. The Software runs locally on your machine. AI inference is provided by third-party services (such as Anthropic) using your own API keys or subscription.
Kelly is offered under the following plans:
Subscriptions are billed monthly. Payment is processed by Paddle, our Merchant of Record. By subscribing you also agree to Paddle's terms at paddle.com/legal. We reserve the right to change pricing with 30 days' notice.

We grant you a limited, non-exclusive, non-transferable license to install and use Kelly on devices you own or control, subject to these Terms. You may not reverse-engineer, decompile, redistribute or sublicense the Software.
You agree not to use Kelly to violate any applicable law, infringe intellectual property rights, transmit malware, or circumvent security measures. We may suspend accounts that violate these rules.
Our Privacy Policy describes how we handle your information. Kelly stores all project data locally on your machine. We collect only what is necessary for license verification and billing.
Kelly and all related trademarks, designs, and code are owned by Ivan Stepanov. Nothing in these Terms transfers any intellectual property rights to you.
The Software is provided "as is" without warranty of any kind, express or implied. We do not warrant that Kelly will be error-free or uninterrupted.
To the maximum extent permitted by law, our total liability to you shall not exceed the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental or consequential damages.
You may cancel your subscription at any time via your billing portal. We may terminate your access if you breach these Terms. Upon termination, your local data remains on your machine.
These Terms are governed by the laws of Brazil. Disputes shall be resolved in the courts of Brazil.
We may update these Terms from time to time. We will notify you of material changes via the application or email. Continued use after the effective date constitutes acceptance.
